By using our website (the "Site") and our services ("Services"), you agree to comply with and be bound by the following terms and conditions (the "Terms"). 1. Acceptance of Terms By accessing or using our Services, you agree to these Terms. If you do not agree to these Terms, you may not access or use our Services. By creating an Account on our Service, you agree to subscribe to newsletters, marketing or promotional materials and other information we may send. However, you may opt out of receiving any, or all, of these communications from us by following the unsubscribe link or by emailing at support@captionagent.com. 1.3. Age Restrictions CaptionAgent is intended for use by individuals who are at least 18 years old. By accessing or using our Service, you affirm that you are at least 18 years of age and have the legal capacity to enter into this agreement and to adhere to these Terms. If you are not 18 years old or older, you are not permitted to access or use CaptionAgent. 1.4. Subscriptions and Billing Certain features of CaptionAgent are accessible only through a paid subscription (“Subscription”). Subscriptions are billed in advance on a recurring, periodic basis, which can be either monthly or annually (“Billing Cycle”). At the conclusion of each Billing Cycle, your Subscription will automatically renew under the same terms unless you cancel it or DGC Group LLC chooses to cancel it. To cancel your Subscription, you may do so through your CaptionAgent account settings or by contacting DGC Group LLC customer support. A valid payment method, such as a credit card processed through Stripe, is necessary for completing the Subscription. You must provide CaptionAgent with accurate and complete billing details including your full name, address, state, postal code, and a valid payment method. When you supply this information, you authorize DGC Group LLC to charge the Subscription fees applicable to your account. If for some reason automatic billing fails, DGC Group LLC will send you an electronic invoice specifying that you must manually complete the payment for the Subscription within a set timeframe as indicated on the invoice. Should you be eligible for any discounts, note that only one discount may be applied per Subscription. Feel free to use or modify this section as you see fit. Free Trial Period DGC Group LLC may offer a Subscription with a free trial for a limited period of time ("Free Trial") at its sole discretion. To sign up for the Free Trial, you may be required to provide billing information. If billing information is provided when signing up for the Free Trial, you will not be billed by DGC Group LLC until the Free Trial period ends. On the last day of the Free Trial, unless you have cancelled your Subscription, you will be automatically charged the appropriate Subscription fees for the plan you selected. DGC Group LLC reserves the right, at any time and without notice, to modify or discontinue the Free Trial offer. 1.6. Fee Changes DGC Group LLC, at its sole discretion, reserves the right to change the Subscription fees for any of the CaptionAgent Subscriptions at any time. Such changes in Subscription fees will take effect at the end of your current Billing Cycle. We will provide reasonable prior notice to inform you of any changes in Subscription fees, giving you the opportunity to cancel your Subscription before the new fees take effect. Your continued use of CaptionAgent after any Subscription fee change signifies your agreement to pay the newly adjusted Subscription fee. 1.7. Refund Policy All purchases for monthly and annual Subscriptions are non-refundable. You may cancel your Subscription at any time via your CaptionAgent account settings, specifically by navigating to the Billing section and selecting 'Cancel Subscription'. Your cancellation will be effective at the end of the current Billing Cycle. 1.8. User Content CaptionAgent allows you to post, link, store, share, and otherwise make available certain information, text, graphics, videos, or other material ("Content"). You are responsible for the legality, reliability, and appropriateness of any Content you post through our Service. When you post Content via CaptionAgent, you represent and warrant that: (i) you own the Content or have the necessary rights to use it, and to grant us the rights and license detailed in these Terms; and (ii) the posting of your Content does not infringe on the privacy, publicity, copyrights, or any other rights of any person or entity. We reserve the right to terminate the account of anyone found to be infringing on a copyright. While you retain all rights to the Content you post through CaptionAgent, you grant us a non-exclusive license to use, modify, publicly perform, publicly display, reproduce, and distribute such Content through our Service. This license includes the right for us to make your Content available to other users of the Service, who may use your Content in accordance with these Terms. DGC Group LLC has the right, but not the obligation, to monitor and edit any Content provided by users. If you use CaptionAgent's artificial intelligence technology to create new Content, you are responsible for its use and for ensuring it does not infringe on the rights of any third parties, including but not limited to privacy, publicity, copyright, or contractual rights. Please be aware that our artificial intelligence may generate Content that some might find inappropriate or offensive. DGC Group LLC shall not be held legally responsible in such instances. 1.9 Prohibited Activities You are permitted to use CaptionAgent solely for lawful purposes and in compliance with these Terms. You agree not to use the service to: (a) Violate any local, national, or international laws or regulations. (b) Exploit, harm, or attempt to exploit or harm minors by exposing them to inappropriate content or otherwise. (c) Transmit or encourage the sending of unsolicited advertising or promotional material, such as "junk mail," "chain letters," or "spam." (d) Impersonate DGC Group LLC, its employees, other users, or any other person or entity. (e) Engage in activities that infringe upon the rights of others, or that are illegal, threatening, fraudulent, or harmful, or in connection with any unlawful, illegal, fraudulent, or harmful purpose or activity. (f) Engage in conduct that restricts or inhibits the use or enjoyment of the service by others, or which, in the judgment of DGC Group LLC, may harm DGC Group LLC or users of the service, or expose them to liability. Furthermore, you agree not to: (a) Use CaptionAgent in any way that could disable, overburden, damage, or impair the service, or interfere with others' use of the service. (b) Use any robot, spider, or other automated means to access the service for any purpose, including to monitor or copy any content. (c) Use manual processes to monitor or duplicate any content on the service without prior written permission from DGC Group LLC. (d) Employ any devices, software, or routines that interfere with the service's proper operation. (e) Introduce malicious or technologically harmful material such as viruses, Trojan horses, worms, or logic bombs. (f) Attempt unauthorized access to, interfere with, damage, or disrupt any part of CaptionAgent, the server on which CaptionAgent is hosted, or any server, computer, or database connected to CaptionAgent. (g) Conduct denial-of-service or distributed denial-of-service attacks against the service. (h) Act in any way that could damage or manipulate the rating or reputation of DGC Group LLC. (i) Attempt to interfere with the proper functioning of the service. 2. Changes to Terms We reserve the right to change, modify, or revise these Terms at any time. Any changes will be effective immediately upon posting on the Site. 3. Eligibility The Services are available to users worldwide. There are no specific age restrictions, although some features may not be suitable for minors. 4. User Accounts Users can register for a free or premium account. Premium accounts are subject to monthly or annual subscription fees processed through Stripe. 5. Data Collection and Privacy We collect personal data through Google Analytics.
